#VSR_y_Beyfortu 180926 1/2

GUJARAT THEMIS BIOSYN | FROM INTERMEDIATES TO GLOBAL PHARMA

THE BIG IDEA - GTBL generated just ₹166 Cr revenue. - Yet announced acquisitions reach ₹3,000 Cr. - This creates a major transformation story. - Existing business remains good but narrow. - Management is targeting much broader capabilities.

CURRENT BUSINESS - GTBL makes rifamycin intermediates. - Production uses fermentation technology. - Existing capacity was fully utilised. - Capacity constraints limited downstream expansion. - API manufacturing was the logical next step.

CAPACITY INFLECTION - GTBL added 540 KL fermentation capacity. - This nearly doubles existing capacity. - The company also commissioned an API block. - This solves the manufacturing capacity gap. - It enables movement toward higher-value APIs.

THE TWO BIG GAPS - Building a serious CDMO remains difficult. - Global market access is another challenge. - Organic capability development would take years. - Acquisitions can accelerate this transformation.

MBJ ACQUISITION | ₹1,300 CR - MBJ adds precision fermentation capabilities. - It also adds peptide capabilities. - Plasmids expand biological manufacturing capabilities. - Enzyme engineering adds another technology layer. - Existing CDMO relationships provide customer access. - Management estimates 7–8 years organically. - Therefore, MBJ buys capability and time.

SANOFI ACQUISITION | ₹1,700 CR - Sanofi adds 13 anti-TB brands. - These brands span 55 countries. - Finished formulations add downstream exposure. - Global distribution provides immediate market access. - This addresses GTBL's historical market-access gap.

THE TRANSFORMATION - OLD GTBL - Fermentation → Intermediates

- TARGET GTBL - Fermentation → APIs - APIs → CDMO - CDMO → Formulations - Formulations → Global Markets

THREE GAPS BEING FILLED - New capacity fills manufacturing constraints. - API block enables downstream integration. - MBJ fills the capability gap. - Sanofi fills the market-access gap. - Together, these create vertical integration.

WHY THIS MATTERS - GTBL could participate across more value chains. - Higher-value products could improve economics. - CDMO provides potentially recurring business. - Formulations add downstream value capture. - Global brands expand geographical reach.

THE BIG OPPORTUNITY - Fermentation expertise remains the foundation. - Added capabilities increase value-chain participation. - CDMO creates a larger addressable opportunity. - Formulations provide additional downstream exposure. - Global markets could significantly expand scale.

THE BIG RISK - Acquisitions are enormous versus current revenue. - Current revenue is only ₹166 Cr. - Announced acquisitions total ₹3,000 Cr. - Integration complexity will increase substantially. - Utilisation must justify the expanded capital base. - Margins must remain attractive. - Returns on capital become critical.

WHAT TO WATCH - MBJ acquisition integration. - Sanofi transaction execution. - New fermentation utilisation. - API block utilisation. - CDMO customer additions. - Global formulation growth. - Margin progression. - Cash-flow generation. - Return on invested capital.

CRUX - This is no longer capacity-led. - The thesis is now execution-led. - GTBL is buying capabilities and markets. - MBJ provides technology and CDMO access. - Sanofi provides brands and global reach. - New capacity strengthens manufacturing integration.

THE KEY TRANSITION - CAPACITY → QUALIFICATION - QUALIFICATION → UTILISATION - UTILISATION → SCALE - SCALE → MARGINS - MARGINS → RETURNS

KEY TAKEAWAY - GTBL is attempting a major transformation. - It could evolve beyond intermediates. - The acquisition strategy has strategic logic. - But execution risk is equally significant. - Integration will determine the ultimate outcome. - Capital efficiency now becomes extremely important.

NO RECOMMENDATION - This is an analytical business overview. - Please conduct your own detailed study.
